End-User License Agreement

  1. License grant. Subject to this EULA and an active authorized seat, Cetus Inertia grants you a non-exclusive, non-transferable license to use Keystone Pro Station Tools (the “Software”) on the Workbench machine identified by the host ID in your license file.
  2. License file. The issued keystonepro.lic (or equivalent) is cryptographic evidence of authorization for that host ID. You may not alter, redistribute, or use a license file on a different host.
  3. Restrictions. You may not sublicense, sell, rent, or publicly redistribute the Software; remove proprietary notices; or circumvent licensing or security mechanisms.
  4. Ownership. The Software, documentation, and trademarks remain the property of Cetus Inertia and its licensors. No title is transferred to you.
  5. Your responsibility. The Software can change a live Niagara station. You are responsible for backing up stations and Niagara installs, and for testing in a sandbox or other non-critical setup before you use the Software on any live or critical system. Compatibility with your station, modules, and Niagara version is your responsibility. Niagara stations are built so you can test first. Use that.
  6. Niagara. Niagara, Workbench, and related marks belong to their owners. Cetus Inertia is not affiliated with Tridium or Honeywell. You need your own Niagara license. This license does not grant Niagara rights.
  7. Updates. We may change licensing terms, seat counts, or require updated license files for newer Software releases. Some tools may be marked Beta; the same “as is” terms apply.
  8. Termination. This license ends if your seat is revoked, your authorization expires, or you breach this EULA. On termination you must stop using the Software and delete license files for revoked seats.
  9. As is. The Software is provided “as is,” without warranties of merchantability, fitness for a particular purpose, non-infringement, or that it will work with your system. You use it at your own risk.
  10. Liability. To the fullest extent permitted by law, Cetus Inertia is not liable for indirect, incidental, special, consequential, or lost-profit damages, or for station downtime, lost configuration, HVAC or other building-system disruption, or a damaged Niagara install. Aggregate liability is limited to the amount you paid for the Software (USD $0 if you paid nothing).
  11. Acceptance. Buying a license, checking an acceptance box, claiming a seat, or downloading the Software is your electronic signature and agreement to this EULA and the Terms of Service then in effect.
  12. Governing law. Unless mandatory local law requires otherwise, these terms are governed by the laws applicable to Cetus Inertia’s principal place of business, excluding conflict-of-law rules.
